Can Foreign Companies Be Registered in Kenya?

If a foreign company wants to do business in Kenya, it can register its existing company there. This process is known as foreign company registration in Kenya, and the registration certificate issued is known as a Certificate of Compliance.

A Foreign Company is registered outside of Kenyan jurisdiction, under the laws of its home country, and given a certificate of compliance under Kenyan Law to operate and conduct business in Kenya like any local company. To register a foreign company branch in Kenya, you will need the following documents:

  1. Certified copies of the foreign company’s memorandum and articles of association.
  2. Certified copy of the certificate of incorporation, certified by a Notary Public.
  3. Translated copies of foreign language documents, certified by a Notary Public.
  4. Name and contact information of the local representative of the foreign company.
  5. National ID, PIN, and a passport photo of the local representative in Kenya.
  6. The registered address of the foreign company in the county of registration.
  7. Proposed registered address in Kenya, including the name of the building, plot number, street, town, and county.
  8. Copies of passports and passport photos of the directors and shareholders.
  9. Contact information of the directors and shareholders of the foreign company.

You will also need to fill out the following foreign company registration forms:

  1. List documents delivered for registration by a company incorporated outside Kenya.
  2. List and particulars of the directors and secretaries of a company incorporated outside Kenya.
  3. List of names and addresses of the person resident in Kenya authorised to receive service on behalf of a company incorporated outside Kenya.
  4. Notice of the situation of the registered or principal office or change therein of a company incorporated outside Kenya.

Once you have submitted all the required documents for registration, the company will be issued a Certificate of Compliance. You will also need to register for PIN and VAT.

The registration process usually takes seven days from the date all application requirements are submitted. Registering a foreign company in Kenya allows foreign entities to maintain their corporate identity while operating in Kenya, just like a local company.
